Thank you for visiting the Satoshi’s ATM website and/or Bitcoin ATM location. This User Agreement, Terms and Conditions, and Privacy & Identity Verification Policy placed herein (collectively “Agreement”, “User Agreement”, “Satoshi’s ATM User Agreement”, “Terms”, “Terms and Conditions”) is a contract between you (collectively “User”, “customer”, or “individual”, or “you”) and Apex Capital Enterprises LLC dba Satoshi’s ATM (collectively “Satoshi’s ATM”, “Company”, “we”, “our”, or “us”), an Idaho Limited Liability Company, and applies to your use of the Satoshi’s ATM Bitcoin ATM, and all services offered and upcoming. By using any or all of Satoshi’s ATM’s services, customers agree to be contractually bound by this Satoshi’s ATM User Agreement, which is inclusive of the Satoshi’s ATM Terms and Conditions, Satoshi’s ATM Privacy Policy & Identity Verification Policy, the Satoshi’s ATM Cryptocurrency Risk Disclaimer, Be Alert: Protecting Yourself from Financial Scams and Fraud Document, as well as any other applicable main documents, policies, rules, price schedules, and any other additional documents or terms made available to the user which is an addition to the primary user agreement placed herein and governs all transactions and contracts made between user and Satoshi’s ATM. It is important to read and understand these Terms before using any of Satoshi’s ATM’s services. If you as a user do not agree with the terms of this user agreement in its entirety, which includes all disclaimers and documents, you are required to exit the dashboard application, website, or other medium of usage of Satoshi’s ATM’s services immediately, and you are not authorized to continue use or engagement in any of Satoshi’s ATM’s services or offerings in any manner or form. If you do not agree to any of the terms in this Agreement, or any subsequent modification to this Agreement, you will not be permitted to use the Services and your Account with us will be closed. This Agreement will come into effect when you confirm electronically when engaging in a transaction through any Satoshi’s ATM service, as well as any other Satoshi’s ATM service during the purchase process in a clearly visible manner where you confirm that you agree to it. We recommend that you retain a copy of this Agreement and all transaction records.

Important: By using our Services, you acknowledge that Bitcoin (or other cryptocurrencies) transactions are irreversible once Bitcoin is sent and that any transaction may be conducted solely between you (the “User” or “Customer”) and Satoshi’s ATM, and not on behalf of or for the benefit of any third party. You further acknowledge that you are strictly forbidden from using our Services for the purpose of transmitting Bitcoin or other cryptocurrencies to any wallet address that is held or controlled by any third party. SENDING TO A WALLET THAT YOU DO NOT CONTROL IS AN EXPRESS VIOLATION OF THESE TERMS AND CONDITIONS, AND WILL RESULT IN YOU BEING BANNED FROM OUR PLATFORM. IN ADDITION, YOU AGREE TO NOT HOLD APEX CAPITAL ENTERPRISES LLC DBA SATOSHI’S ATM LIABLE FOR ANY CLAIMS, LIABILITIES, OR LOSSES ARISING FROM ENTERING MISINFORMATION FOR A TRANSACTION, IN BOTH INTENTIONAL AND UNINTENTIONAL CAPACITY, INCLUDING BUT NOT LIMITED TO ENTERING A MISSPELLED WALLET ADDRESS, ENTERING IMPROPER QR CODE SCAN OF WALLET ADDRESS, ENTERING IMPROPER CRYPTOCURRENCY WALLET ADDRESS OF ANOTHER CRYPTOCURRENCY, ENTERING A WALLET ADDRESS THAT YOU CONTROLLED BUT FAILED TO CHECK TO CONFIRM ACCESS TO SUCH WALLET PRIOR TO PURCHASE ONLY TO LATER FIND OUT THAT YOU HAD LOST ACCESS, LOSING ACCESS TO A WALLET AT ANY POINT IN TIME, AND ENTERING A WALLET ADDRESS THAT YOU DO NOT CONTROL. ALL MACHINES AND TRANSACTIONAL DASHBOARDS HAVE CLEARLY OUTLINED TERMS, DISCLOSURES, AND ALERTS PRIOR TO CONFIRMING A PURCHASE WHOSE SOLE PURPOSE IS TO CONFIRM YOUR UNDERSTANDING OF THESE RULES AND NOTIFYING YOU OF ALL IMPORTANT INFORMATION PRIOR TO YOU ACCEPTING THESE BINDING TERMS AND MAKING A PURCHASE BY ENTERING INTO A TRANSACTION WITH SATOSHI’S ATM.

1. Service Description

DISCLAIMER: The agreement, made in contract with the User and Satoshi’s ATM, and bound by the laws of the state of Idaho, contains complete disclaimers of warranties, limitations of liability, releases, a class-action waiver, and the requirement to resolve any claims that may arise under this agreement through arbitration against Apex Capital Enterprises LLC dba Satoshi’s ATM, along with its subsidiaries, related parties, third-party service providers, and marketing partners (referred to collectively as “covered parties”), who are expressly designated as third-party beneficiaries of the mandatory arbitration provision and are fundamental elements of the agreement, in accordance with the described terms, policies, arbitration rules, and other rules to be abided. The risk of loss in trading or holding Bitcoin or any other Cryptocurrency can be substantial. You should therefore carefully consider whether trading or holding Bitcoin or any other cryptocurrency is suitable for you in light of your financial condition. In considering whether to trade or hold Cryptocurrency, you should be aware that the price or value of Cryptocurrency can change rapidly, decrease, and potentially even fall to zero. You acknowledge that Apex Capital Enterprises LLC is not responsible for safeguarding or holding your Cryptocurrency, or any private keys or other security information to access your Cryptocurrency and that Apex Capital Enterprises LLC is not responsible for any loss of Cryptocurrency resulting from theft, loss, or mishandling of Cryptocurrency private keys, loss from entering misinformation, or other security information outside its control. Every purchase and sale of Cryptocurrency is effected on and confirmed by the respective network of that Cryptocurrency. The confirmation takes a period of time (usually less than one hour, but possibly one day or more). An Order is not complete until it is confirmed. Cryptocurrency associated with Orders that are in a pending state will be designated accordingly.

1.1 The Company, Apex Capital Enterprises LLC dba Satoshi’s ATM, operates Bitcoin ATMs that allow customers to purchase Bitcoin using cash. The Company facilitates the purchase of Bitcoin by accepting cash and dispensing Bitcoin to the customer’s designated wallet address. 

1.2 The Company, Apex Capital Enterprises LLC dba Satoshi’s ATM, is not involved in the storage or custody of Bitcoin purchased by customers. Customers are solely responsible for providing their wallet addresses and ensuring the accuracy of their entry of information as to their self-owned Bitcoin or cryptocurrency wallet address, phone number, name, and other information. The Company strongly encourages customers to use secure wallet solutions and implement appropriate security measures to protect their Bitcoin and cryptocurrency. Apex Capital Enterprises LLC dba Satoshi’s ATM (“Company”) provides services in collaboration with various partners and affiliates. By using the Company’s services, customers acknowledge and agree that the Company shall not be liable for any actions, omissions, or liabilities of its partners or affiliates. For select highly reviewed partners, Apex Capital Enterprises LLC dba Satoshi’s ATM licenses its brand name to its licensees in exchange for payment and/or other benefits. Apex Capital Enterprises LLC dba Satoshi’s ATM promotes its partners and their services, however, is not liable for partner or affiliate actions. The Company’s partners and affiliates operate independently and are responsible for their own products, services, and business practices. The Company does not endorse, guarantee, or assume any responsibility for the actions or quality of services provided by its partners or affiliates. Customers acknowledge and agree that any disputes or claims arising from transactions or interactions with the Company’s partners or affiliates must be resolved directly with the respective partner or affiliate. The Company shall not be responsible for any losses, damages, or liabilities incurred as a result of such disputes or claims. The Company makes reasonable efforts to select and maintain partnerships and affiliations with reputable entities. However, customers are advised to exercise their own judgment, perform due diligence, and make informed decisions when engaging with the Company’s partners or affiliates. Apex Capital Enterprises LLC states potential general risks of its partners’ services in respect to customers taking precautions, such as securing passwords and proper backups, and is not liable for its partners’ actions. In no event shall the Company, its directors, officers, employees, or affiliates be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the actions, products, or services of its partners or affiliates. The Company reserves the right to modify or terminate its partnerships and affiliations at any time without prior notice in accordance with its contracts. Such modifications or terminations shall not create any liability on the part of the Company for the actions or obligations of its former partners or affiliates. Customers agree to indemnify and hold the Company, its directors, officers, employees, and affiliates harmless from any claims, demands, or actions arising from their interactions or transactions with the Company’s partners or affiliates. This includes but is not limited to any losses, damages, or liabilities incurred as a result of the customer’s reliance on the actions or representations of the partners or affiliates. These Terms and Conditions do not create any third-party beneficiary rights for the partners or affiliates of the Company. Customers strictly agree that they have obligations under these Terms to keep their personal information, passwords, seed-phrases for cryptocurrency wallet backups, PINs, 2FA codes, and other security measures in place and to not, under any circumstance, hold Apex Capital Enterprises LLC to any losses, errors, malfunctions, negligence, or other issues that may arise from any partner or affiliate service which is not under the ownership of Apex Capital Enterprises LLC. By using the Company’s services, customers acknowledge that they have read, understood, and agreed to the disclaimer of liability for partners and affiliates as outlined in this paragraph of these Terms and Conditions.

1.3 The Company strives to ensure the availability and functionality of its Bitcoin ATMs. However, customers acknowledge that the Company’s services may be subject to interruptions, delays, or technical issues that are beyond the Company’s control. The Company will make reasonable efforts to address and resolve any issues promptly. Satoshi’s ATM is not liable for any issues that arise from the unavailability of its services. In the event that a machine malfunctions during a transaction, Satoshi’s ATM reserves the right to thoroughly review and investigate the issue as well as transaction history, cash paid or purchase made for all other Satoshi’s ATM services. In most situations, Satoshi’s ATM reserves the right to have up to 14 business days to investigate and review the transaction and records prior to providing a response to the situation. In certain circumstances, a response will be provided that more time will be needed to investigate the transaction without limit or time frame up to the maximum time allowed by law, but the Company will be properly in contact with such users during the continued investigation process in good faith.

1.4 The Company reserves the right to modify, suspend, or terminate its services at any time without prior notice. The current user agreement inclusive of full terms and conditions will always be found here, on our website, on our dashboards, and other Satoshi’s ATM services.

1.5 General Principles: You agree and understand that Bitcoin is not legal tender, carries no protection by the FDIC, and the use of Bitcoin is subject to all applicable state and federal laws and regulations. Apex Capital Enterprises LLC collects required data when necessary as per our KYC/AML policy. You agree that all sales are final, and you understand that Bitcoin transactions, by their very nature, are irreversible. The Company does not allow users to transmit monetary value to another person or to another location for any person, and it is a strict violation of this agreement for users to provide wallets that do not belong to them to which they have access. This prohibition does not apply to sending bitcoin to wallets hosted by third-party services, as long as the customer has exclusive access to that hosted wallet, it is truly owned by the customer, and the customer has confirmed prior to making a purchase that the customer still has access to the wallet. While Satoshi’s ATM does not provide financial or legal advice, it is general practice for those involved with cryptocurrencies to have their private keys and seed phrases securely stored. Customers agree that any and all mistakes made by a customer are NOT the responsibility of Apex Capital Enterprises LLC dba Satoshi’s ATM, for example, providing a wrong wallet to which Bitcoin or other cryptocurrency was sent.

1.6 When using the Services, you are buying Cryptocurrency from, or selling Cryptocurrency to, Apex Capital Enterprises LLC dba Satoshi’s ATM directly. Apex Capital Enterprises LLC does not act as an intermediary or marketplace between other buyers and sellers of Cryptocurrency. Apex Capital Enterprises LLC will send/deliver Cryptocurrency to the Wallet address indicated at the time of the Order subject to the conditions of this Agreement. At no point during the purchase or sale at any Satoshi’s ATM Bitcoin ATM, or other Apex Capital Enterprises LLC service, will Apex Capital Enterprises LLC be in possession or in control of client funds. Apex Capital Enterprises LLC does not host Wallets or act as custodian of funds or assets. Orders through Satoshi’s ATM are executed individually, one by one. Apex Capital Enterprises LLC DOES NOT facilitate or provide trading or investment or brokerage accounts or facilities, nor does Apex Capital Enterprises LLC provide investment or any other financial advice.

1.7 Licensing of Brand Name Satoshi’s ATM: Satoshi’s ATM reserves the right to license its name for payment or benefits from third parties. Apex Capital Enterprises LLC reserves the right to market and promote our licensed partners and affiliates in accordance with our license agreement and incentives for as long as the partners and affiliates are continued to be seen by Apex Capital Enterprises LLC as being of good character within our best efforts attempts of annual reviews; Apex Capital Enterprises LLC is, however, not liable for the actions of its licensed partners which are separate entities. By accepting this user agreement, you fully understand and accept to not hold Satoshi’s ATM liable for any use of third-party services which is not owned by Apex Capital Enterprises LLC. You agree to not hold Apex Capital Enterprises LLC liable in conjunction with issues that arise from third-party services and to not bring legal action against Apex Capital Enterprises LLC for services not provided by Apex Capital Enterprises LLC, as further discussed in sections 9 and 10 of this agreement for the contractual obligations for seeking relief which only pertain to services provided by Apex Capital Enterprises LLC.

2. Eligibility

2.1 Customers must:

  • Be at least 18 years old to use the Company’s services.
  • Have sufficient capacity to enter into legally binding contracts.
  • Reside in a country in which the relevant Satoshi’s ATM Services or services of its partners/affiliates are accessible and legally permissible to engage in cryptocurrencies.
  • Be willing to provide to us any current valid personal identification documents that we request.

2.2 Customers must comply with all applicable laws and regulations regarding the purchase of Bitcoin, including those related to anti-money laundering (AML) and know your customer (KYC) requirements. By using the Company’s services, Customers represent and warrant that they are in compliance with such laws and regulations.

2.3 The Company reserves the right to refuse service, or terminate service, to any Customer based on its own risk assessment, compliance obligations, or legal requirements. The Company may request additional information or documentation from Customers to verify their identity and ensure compliance with AML and KYC regulations. This includes requesting additional information to allow continued use of Satoshi’s ATM services by customers to which the Company’s compliance team deems appropriate and necessary.

2.4 By agreeing to this Agreement, you represent, warrant and undertake to us that all of the below statements are understood and fully agreed to:

  • You have full power and authority to enter into this Agreement.
  • You are entering into this Agreement as principal and not on behalf of any third party.
  • You understand and acknowledge that we do not warrant that any of the Services available are suitable or appropriate for your needs and that you must take your own independent legal and other advice on such Services.
  • You will not violate any applicable laws by entering into this Agreement or receiving the Services provided under it.
  • You will not provide false, misleading or inaccurate information.
  • You will not facilitate any viruses, malware, worms, Trojan horses, or other computer programming routines that may damage, corrupt, disrupt, misuse or gain unauthorized access to any data, system information or Company services.
  • You will not use an anonymizing proxy; use any other automatic devices, spider, or manual process to copy or monitor our websites without our prior written permission.
  • You will not harass and/or threaten our employees, agents, or other users.
  • You understand and acknowledge that while we make reasonable endeavors to ensure the accuracy of the information that we provide, and which in turn, is provided to you, neither we nor any of our directors, employees, or agents make any representation or warranty, express or implied, as to the accuracy or completeness of such information.
  • Any information provided by you to Apex Capital Enterprises LLC under this Agreement is true, complete, accurate, up to date and not misleading.
  • You shall provide all assistance reasonably requested by Apex Capital Enterprises LLC to enable the Company to comply with its obligations under this Agreement.

The Apex Capital Enterprises LLC services are provided on an “as is” and “as available” basis, with no further promises made by us around the availability of the Company’s Services. Specifically, we do not give any implied warranties of title, merchantability, fitness for a particular purpose and/or non-infringement. We do not make any promises that access to the Site, any of the Company’s Services, or any of the materials contained therein, will be continuous, uninterrupted, timely, or error-free.

Apex Capital Enterprises LLC makes no representation or warranty that the Services are applicable or appropriate for use by Customers in all jurisdictions, and it is your responsibility to ensure compliance with the laws of any relevant jurisdiction of your residence.

3. Compliance with Laws and Regulations

3.1 Customers agree to use the Company’s services in compliance with all applicable laws and regulations, including but not limited to those related to financial transactions, anti-money laundering, and counter-terrorism financing.

3.2 Customers acknowledge that the Company is required to collect and retain records of certain personal information and verify the identity of Customers to comply with AML and KYC requirements. Customers agree to provide accurate and up-to-date information as requested by the Company.

3.3 The Company reserves the right to refuse service to any Customer who fails to provide the required information or whose identity cannot be verified to the satisfaction of the Company.

3.4 By doing a transaction with Satoshi’s ATM Bitcoin ATM, or any Satoshi’s ATM service (Apex Capital Enterprises LLC), you hereby agree to abide by our anti-money laundering policy, designed to meet strict standards, including the existence of systems and controls to mitigate the risk to any person who accesses or uses the service. This includes, but is not limited to:

  • Establishing robust internal policies, procedures and controls that strive to combat any attempted use of Satoshi’s ATM for illegal or illicit purposes and to offer our customers basic protections under consumer protection laws.
  • Complying with the applicable regulations and guidance set forth by the Financial Crimes Enforcement Network (“FinCEN”).
  • Filing Suspicious Activity Reports (“SARs”).
  • Filing Currency Transaction Reports (“CTRs”).
  • Maintaining comprehensive records of orders and other transfers.
  • Appointing a Chief Compliance Officer who will be responsible for the implementation and oversight of our BSA/AML Program.
  • Executing Know Your Customer (“KYC”) procedures on all customers.
  • Performing regular audits of our BSA/AML Program.
  • Following record retention requirements.

3.5 Our Customer Identity Program is an important part of our BSA/AML Program and helps us detect suspicious activity in a timely manner and prevent fraud. In accordance with this, identities are verified, authenticated, and checked against government watchlists, including the Office of Foreign Assets Control (“OFAC”). Below is the following information we collect for clients that transact a greater daily amount where such an identity check is required:

  • Full legal name (of all account signatories and beneficial owners);
  • Email address (of all account signatories);
  • Mobile phone number (of all account signatories);
  • Address (principal place of business and/or other physical location);
  • Social Security Number (“SSN”) or any comparable identification issued by the government;
  • Date of birth (“DOB”);
  • Proof of identity (e.g., driver’s license, passport, or government-issued ID);
  • Home address (not a mailing address or P.O. Box); and
  • Additional information or documentation at the discretion of our Compliance Team.

If you are an institutional customer, we will collect, verify, and authenticate the following information:

  • Employer Identification Number (“EIN”) or any comparable identification number issued by the government;
  • Proof of legal existence (e.g., state-certified articles of incorporation or certificate of formation, unexpired government-issued business license, trust instrument, or other comparable legal documents as applicable);
  • Contact information of owners/principals/executive management (as applicable);
  • Proof of identity (e.g., driver’s license, passport, or government-issued ID) for each individual beneficial owner that owns 10% or more, as well as all account signatories; and
  • For institutional customers, identifying information for each entity beneficial owner that owns 10% or more (see individual customer information collected above for more details).
  • Additional information or documentation at the discretion of our Compliance Team.

If your institution successfully meets and completes our CIP requirements and neither it nor any of its owners, principals, executives, or managers appear on OFAC or any other governmental watchlist, we will provide you with account opening agreements electronically.

As part of our compliance program, we also file required reports (i.e., Suspicious Activity Reports) if we know, suspect, or have reason to suspect any malicious activities. A suspicious transaction is often one that is inconsistent with a customer’s known and legitimate business, personal activities, or personal means. Our compliance department monitors transactions to help identify unusual patterns of customer activity. In addition, we have to report all currency transactions over a determined amount to the US government (i.e., FinCEN). Our compliance department maintains records and supporting documentation of all reports that we file.

We retain all records for a minimum of three (3) years and are readily available upon official request by an applicable examiner, regulator, or law enforcement agency. By accepting the terms and conditions/privacy policy you fully agree to the terms and conditions set herein and acknowledge that certain information will be saved, which may also include a face photo.

4. Transaction Terms

4.1 Customers agree that only the verifiable amount of cash deposited into Satoshi’s ATM (also known as “Satoshi’s Bitcoin Machines”, “Satoshi’s ATMs”, “Bitcoin ATMs”, “ATMs”, “Bitcoin Machines”, “Machines”) will be used to initiate transactions for the purchase of cryptocurrency. Under no circumstances shall Satoshi’s ATM pay users for unverifiable cash claimed to have been transacted into machines without a valid and authenticated receipt. Transaction details can be verified using the receipt provided. Customers must present a valid receipt for any transaction inquiries they wish to raise. Additionally, for transaction issues requiring adjustments by Satoshi’s ATM, customers may be requested to provide further identification and, at the discretion of Satoshi’s ATM, notarized documentation.

4.2 Once cash is deposited into the Bitcoin ATM and the transaction is confirmed, the Customer’s designated wallet address will receive the corresponding amount of Bitcoin. Satoshi’s ATM assumes no responsibility for errors or delays attributable to the Bitcoin network, including but not limited to network congestion, transaction confirmations, or blockchain forks. The Company bears no liability for any misrepresentations or omissions of information by users, whether intentional or unintentional, including details such as name, phone number, wallet address, and others. Customers are strictly prohibited from entering third-party wallet addresses and must use only their own wallets under the terms of this agreement with Satoshi’s ATM. Users acknowledge and agree, as explicitly confirmed through all Satoshi’s ATMs purchase interfaces, that only wallet addresses owned, controlled, and accessed by them personally may be used for transactions with Satoshi’s ATM. Users further acknowledge that using wallets not under their control violates the user agreement and may result in their account being blocked from future transactions upon discovery by Satoshi’s ATM’s compliance team. Users agree not to hold Satoshi’s ATM liable for any issues or mistakes resulting from incorrect information provided.

4.3 The Customer bears sole responsibility for accurately entering their wallet address. The Company assumes no liability for any loss or misdirection of Bitcoin resulting from the Customer providing an incorrect wallet address.

4.4 Customers acknowledge that Bitcoin transactions are irreversible by nature and beyond the control of the Company once sent to the Customer’s wallet. Once Bitcoin is transferred to the Customer’s designated wallet address, it cannot be reversed or refunded by the Company for the cash value deposited into the machine. Users are alerted to the irreversibility of Bitcoin transactions, financial risks, and disclaimers prior to initiating any transactions.

4.5 The Company reserves the right to establish minimum and maximum transaction limits for Bitcoin purchases at any time and may adjust these rules without prior notice. These limits are subject to factors including regulatory requirements, risk management considerations, and available inventory, and comply with our KYC/AML policy.

5. Rates

5.1 You can purchase and sell Cryptocurrencies (where supported) from and to us subject to applicable fees and limits displayed during the transaction process. Apex Capital Enterprises LLC charges a markup on each Bitcoin transaction, which is applied on top of other Bitcoin exchange indexes available. The final rate, inclusive of this markup, fees charged by the Company, and the amount of Bitcoin you will receive, will be displayed before you confirm the transaction. Customers acknowledge and accept that the exchange rate for Bitcoin purchases may fluctuate frequently due to market volatility, and that a premium rate is applied by the Company at its discretion. This rate will be clearly indicated on the purchase interface.

Customers understand that unlike traditional exchanges that connect multiple users for transactions, Bitcoin ATMs facilitate cryptocurrency purchases directly from the Company using cash, which necessitates a higher price due to operational costs and other expenses. Online exchanges typically offer lower markups because they do not handle cash transactions, which incur higher expenses and risks.These fees are detailed on the transaction dashboards.

Discount codes will be available to users who sign up for our newsletters and promotions, subject to separate terms and conditions. These promotions offer discounts on the markup and fees charged, not on the cryptocurrency’s asset value itself. For instance, a 20% discount on the markup fee reduces the customer’s payment to 80% of the markup rate fee charged on top of the cryptocurrency’s spot price. It’s important to note that discounts apply solely to ATM transactions. Discounts are not applicable where promotional rates are already in effect.

Important: All transactions at Satoshi’s ATM are irreversible, and no refunds are provided under any circumstances. By making a transaction, you agree to these terms, ensuring transactions are only conducted using your own wallet, which you control and own.

By using discount codes or promotions, you acknowledge these terms. Promotions are valid where legally permissible, and only one code can be used per transaction. VIP members receive exclusive discount codes, which cannot be combined with other codes. The Company reserves the right to revoke promotions at its discretion if misuse is suspected, both before and during use.

At times, Satoshi’s ATM may offer promotional rates for selling cryptocurrency at the ATM (where cash is dispensed and cryptocurrency sold by the customer), contingent upon operational status. If the ATM cannot dispense cash, the promotional rate is void. Promotional rates and two-way ATM functionality are subject to availability. Apex Capital Enterprises LLC retains all rights regarding services and promotions, with no obligation to transact under any circumstance.

5.2 Promotions, Program Cancellations, and Information Accuracy: Apex Capital Enterprises LLC, dba Satoshi’s ATM, reserves the right to cancel any discounts, promotions, or programs at its discretion. Apex Capital Enterprises LLC retains the sole authority to terminate any program at any time. Discounts apply solely to the markup rate portion of transactions in all circumstances.

5.3 Modification of Fee Structure: Apex Capital Enterprises LLC reserves the right to adjust the fee structure at any time without prior notice. Customers will receive notification of any changes to the fee structure through the Satoshi’s ATM interface or company website.

6. Customer Responsibilities

6.1 Legal Compliance: Customers are responsible for verifying the legality of purchasing and owning Bitcoin or other cryptocurrencies in their jurisdiction. Only personally-owned cryptocurrency wallets should be provided for Satoshi’s ATM to send cryptocurrency to. Apex Capital Enterprises LLC, dba Satoshi’s ATM, does not provide legal or financial advice. Customers should seek independent professional advice if they have concerns or questions regarding the legality or tax implications of purchasing cryptocurrencies.

6.2 Security Measures: Customers are solely responsible for the security of their wallet addresses and private keys. It is strongly advised to use secure wallets and implement appropriate security measures, such as two-factor authentication and encryption, to protect Bitcoin and personal information. Storing private keys and seed phrases securely is essential as a backup in case of wallet issues.

6.3 Prohibited Activities: Customers agree not to use Satoshi’s ATM services for any illegal or unauthorized purposes, including money laundering, fraud, or financing illegal activities. Customers agree to indemnify and hold Apex Capital Enterprises LLC harmless from any claims, damages, or liabilities arising from misuse of services, including intentional or unintentional misinformation.

6.4 Accuracy of Information: Customers must provide accurate and up-to-date information when using Satoshi’s ATM services. Customers agree to promptly update personal information if changes occur, understanding that certain information, such as wallet details for transactions, cannot be altered once a transaction is initiated and cryptocurrency has been sent. Customers acknowledge before transactions that Bitcoin transactions are irreversible.

6.5 Prohibited Activities: Customers must not engage in any activity that disrupts or interferes with Satoshi’s ATM operation, network, or systems. Prohibited activities include unauthorized access attempts, malware or virus introduction, or any form of hacking or cyber-attacks.

7. Intellectual Property

7.1 All intellectual property rights associated with the Company’s services, including trademarks, logos, and software, are owned by the Company.

7.2 Customers are prohibited from using the Company’s intellectual property without prior written consent. Any unauthorized use of the Company’s intellectual property may result in legal action.

8. Privacy Policy & Identity Verification

8.1 The Company is committed to protecting the privacy and personal information of Customers in accordance with applicable data protection laws and regulations. The Company’s Privacy Policy noted here & available on its website, outlines the types of information collected, how it is used, the duration it is held, and the security measures in place to protect it.

8.2 By using the Company’s services, Customers acknowledge and consent to the collection, use, and processing of their personal information as described in the Company’s Privacy Policy.

8.3 The Company may use cookies or similar technologies to enhance the Customer’s experience and improve the functionality of its website and services. Customers can manage their cookie preferences through their web browser settings.

8.4 You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, “Communications”) that we provide in connection with your use of Satoshi’s ATM services and transactions when entering into a transaction. Accepted communications include (through text or email):

  • An access code text (SMS) message associated with every transaction.
  • A text and/or email message with a receipt of the transaction conducted.
  • Notifications about special pricing, promotions, user agreement, or expansion and news.

You can request cancellation of any text messages or communications by responding with the word STOP to the text messages. By not submitting a STOP request, you agree to continually accept communications from the Company. You may also submit a request to stop communication by sending an email to satoshisatm@gmail.com with the subject line “Stop Communication” and your details in the email as to your information such as phone number and email address. For such requests, it may take up to 10 business days to properly stop outbound communication.

8.5 If available to the Company, you may request to receive via email or approved communication medium depending on circumstance by the Company the following information:

  • Account details, history, transaction receipts, confirmations, and any other Account or transaction information;
  • Legal and regulatory disclosures or statements;
  • Responses to claims or customer support inquiries filed in connection with your Account.
  • Unless required by law in a specific format, we may provide these Communications to you by posting them to the company website, emailing them to you at the primary email address with which you have contacted us, or communicating to you via instant chat, and/or through other electronic communication such as text message (SMS) or mobile push notification.

8.6 Identity Verification: Apex Capital Enterprises LLC dba Satoshi’s ATM requests certain identifying information in order to comply with applicable laws, policies, and regulations. This information includes, but is not limited to:

  • your name;
  • your photographic identification;
  • your address;
  • your phone number;
  • your email address;
  • your date of birth; 
  • social security number;
  • employment information;
  • citizenship status;
  • valid secondary identification documents;
  • and other applicable information depending on requirements as per the compliance teams discretion.

8.7 We may share your personal information with:

  • Service providers under contract who help with parts of our business operations such as fraud prevention, bill collection, marketing and technology services. Our contracts dictate that these service providers only use your information in connection with the services they perform for us and not for their own benefit;
  • Financial institutions with which we partner;
  • Companies that we plan to merge with or be acquired by. (Should such a combination occur, we will require that the new combined entity follow this privacy policy with respect to your personal information. You will receive prior notice of any change in applicable policy.);
  • Law enforcement, government officials, or other third parties when: We are compelled to do so by a subpoena, court order or similar legal procedure; or We believe in good faith that the disclosure of personal information is necessary to prevent physical harm or financial loss, to report suspected illegal activity or to investigate violations of our User Agreement;
  • Other third parties with your consent or direction to do so. Company will not sell or rent any of your personal information to third parties for their marketing purposes and only shares your personal information with third parties as described in this policy.

8.8 Recordkeeping: The company will maintain various records, including transaction logs, customer identification records, audit trails, and other necessary documentation for a minimum period of three (3) years, in compliance with Idaho Code § 26-2915. The types of records we will maintain include but are not limited to:

  • A record or records of payment instruments sold.
  • A general ledger containing all asset, liability, capital, income, and expense accounts, posted at least monthly.
  • Settlement sheets, if received from authorized representatives.
  • Bank statements and bank reconciliation records.
  • Records of outstanding payment instruments.
  • Records of each payment instrument paid within the three (3) year period.
  • A list of the names and addresses of all of the licensee’s authorized representatives, as well as copies of each authorized representative’s contract.
  • All reports required by federal currency reporting, recordkeeping, and suspicious transaction reporting requirements as set forth in 31 U.S.C. sec. 5311, 31 CFR part 103 (2000), and other federal and state laws pertaining to money laundering.

Maintenance of these documents in a photographic or other similar form shall constitute compliance with the provisions of this section. Records may be maintained at a location other than within this state, provided they are accessible to the director with seven (7) days’ written notice.

9. Limitations of Liability

9.1 Inherent Risks: Customers acknowledge and accept that the use and ownership of Bitcoin or other cryptocurrencies involve inherent risks. Apex Capital Enterprises LLC dba Satoshi’s ATM shall not be liable for any losses, damages, or liabilities arising from such risks, including but not limited to hacking, theft, system failures, or regulatory actions.

9.2 Market Volatility: Customers acknowledge that the value of Bitcoin or other cryptocurrencies can fluctuate widely and may result in financial loss. Apex Capital Enterprises LLC does not provide any guarantees or warranties regarding the future value or performance of Bitcoin or other cryptocurrencies.

9.3 Exclusion of Certain Damages: In no event shall Apex Capital Enterprises LLC, its directors, officers, employees, partners, or affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of Satoshi’s ATM services, including but not limited to loss of profits, data, or goodwill.

9.4 Indemnification: Customers agree to indemnify and hold Apex Capital Enterprises LLC, its directors, officers, employees, and affiliates harmless from any claims, demands, or actions arising from the Customer’s use of Satoshi’s ATM services or the purchase of Bitcoin or other cryptocurrency. This includes, but is not limited to, losses, damages, or liabilities incurred due to the Customer’s violation of these Terms, negligence, or willful misconduct.

9.5 Limitations of Liability: In no event shall Apex Capital Enterprises LLC, its affiliates, service providers, or any of their respective officers, directors, agents, joint venturers, employees, or representatives be liable:

  1. For any amount greater than the value of your transaction.
  2. For any lost profits, loss of goodwill or reputation, loss of data, diminution in value or business opportunity, any loss, damage, corruption, or breach of data or any other intangible property.
  3. For any special, incidental, indirect, intangible, or consequential damages, whether based in contract, tort, negligence, strict liability, or otherwise, arising out of or in connection with any use of the Satoshi’s ATM site or the services provided, or this Agreement.
  4. Except to the extent of a final judicial determination that such damages were a result of Apex Capital Enterprises LLC’s gross negligence, fraud, willful misconduct, or intentional violation of law.

This means, by way of example only (and without limiting the scope of the preceding sentence), you understand that you may not recover for lost profits, lost business opportunities, diminution in value, or other types of special, incidental, indirect, intangible, exemplary, punitive, or consequential damages or any damages arising out of or relating to digital assets that are not supported digital assets.

Apex Capital Enterprises LLC provides the Satoshi’s ATM services on an “as is” and “as available” basis without any representation or warranty, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Apex Capital Enterprises LLC specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose, and/or non-infringement.

Apex Capital Enterprises LLC does not make any representations or warranties that access to the Satoshi’s ATM site or services, including any other Company owned site, any part of the services provided, or any of the materials contained therein, will be continuous, uninterrupted, timely, or error-free. Apex Capital Enterprises LLC does not guarantee that any order will be executed, accepted, recorded, or remain open.

Except for the express statements set forth in this Agreement, you hereby acknowledge and agree that you have not relied upon any other statement or understanding, whether written or oral, with respect to your use and access of the Satoshi’s ATM services and site.

Without limiting the foregoing, you hereby understand and agree that Apex Capital Enterprises LLC will not be liable for any losses or damages arising out of or relating to:

  1. Any inaccuracy, defect, or omission of digital asset price data, or any error, delay, or interruption in the transmission of such data.
  2. Viruses or other malicious software obtained by accessing our websites, software, systems operated by us or on our behalf or any of the services provided or any website or service linked to our website.
  3. Glitches, bugs, errors, or inaccuracies of any kind in our websites, software, systems operated by us or on our behalf or any of the services provided.
  4. A suspension or other action taken with respect to your account.
  5. Use of any products not operated by Apex Capital Enterprises LLC.

10. Governing Law and Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Idaho. By using any Satoshi’s ATM service, you agree to all the terms and conditions outlined herein on this page and agree not to initiate legal action against Apex Capital Enterprises LLC, its owners, members, partners, affiliates, or related parties.

10.2 Arbitration: Any dispute or claim arising in connection with your use of any Satoshi’s ATM service, or any products or services sold by Satoshi’s ATM, shall be resolved by binding arbitration rather than in court, except where: (1) you may bring claims in small claims court if they qualify, and (2) if the laws of your province of residence allow you to resolve disputes before its courts despite agreeing to arbitration, you may elect to do so or proceed with arbitration. The arbitration proceedings shall be conducted in English. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court, including injunctive and declaratory relief or statutory damages, and must follow the terms of these Terms of Service as a court would.

To initiate arbitration, you must send a letter requesting arbitration and describing your claim to the company’s mailing address. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules in the State of Idaho, in the city of Boise, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. Payment of all filing, administration, and arbitrator fees will be governed by AAA’s rules. We may reimburse those filing fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. Satoshi’s ATM will not reimburse any fees or costs related to the transaction or legal fees under any circumstances unless mandated by the arbitrator.

All transactions at Satoshi’s ATM have a strict no-refund policy without exception once a transaction is processed and cryptocurrency is sent. Satoshi’s ATM will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

We both agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we both waive any right to a jury trial. We also agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights. Notwithstanding the above, if deemed necessary and appropriate, Satoshi’s ATM reserves the right to seek injunctive or other equitable relief in a court of competent jurisdiction to enforce these Terms or protect its intellectual property rights.

10.3 Force Majeure: You agree that Apex Capital Enterprises LLC dba Satoshi’s ATM shall not be liable for any loss caused directly or indirectly by circumstances beyond its control, including but not limited to acts of God, government restrictions, exchange or market rulings, actions affecting securities, clearing or commodity exchanges (including trading suspensions or extensions), acts of civil or military authority, natural disasters, wars, riots, terrorism, industrial disputes, acts or regulations of any governmental or supranational bodies, failure or malfunction of telecommunications or computer services.

11. Suspension, Termination, and Cancellation

11.1 Suspension, Termination, and Cancellation: Apex Capital Enterprises LLC dba Satoshi’s ATM reserves the right, at its sole discretion, to take any or all of the following actions:

  • Refuse to complete, block, or cancel any transaction you have authorized.
  • Suspend, restrict, or terminate your access to any or all services provided by Apex Capital Enterprises LLC dba Satoshi’s ATM.
  • Deactivate or cancel your account with immediate effect for any reason.

These decisions may be made concerning your account if:

  • We reasonably suspect you are in breach of any section or statement of this entire User Agreement.
  • We have concerns about the security of your account or suspect fraudulent or unauthorized use of our services.
  • We reasonably believe it is necessary to protect our reputation.
  • We are required to do so by applicable law, regulation, court order, or other authority in any jurisdiction.
  • We suspect money laundering, terrorist financing, fraud, or any other financial crime.
  • Your account is subject to pending litigation, investigation, or government proceedings, or we perceive a heightened risk of legal or regulatory non-compliance associated with your account activity.
  • You take any action that may circumvent our controls, such as opening multiple accounts or abusing promotions offered from time to time.
  • You fail to provide, upon request, documentation that Apex Capital Enterprises LLC dba Satoshi’s ATM reasonably requires to comply with obligations under anti-money laundering laws and regulations, or to verify your identity and/or funding sources to our satisfaction.

11.2 Apex Capital Enterprises LLC dba Satoshi’s ATM shall not be liable to you for any losses you may suffer as a result of any reasonable action it takes to suspend your account or withhold settlement of a cryptocurrency order in accordance with this clause 11. You may voluntarily close your account by emailing satoshisatm@gmail.com with the subject line “Close Account Phone Number: XXX-XXX-XXXX”. In the body of the email, please include your full name, phone number, current address, and any other information requested by the Apex Capital Enterprises LLC support team to properly identify you as the account owner. Please note that due to federal and state laws, terminated or closed accounts, including those closed voluntarily by users, are subject to a minimum three (3) year information record keeping requirement for user account details and transactions.

Where the reasons for Apex Capital Enterprises LLC’s actions under this clause 11 cease to exist, Apex Capital Enterprises LLC may, at its discretion, reinstate access to your account and services, and/or require you to complete the account opening procedures outlined in this Agreement again and resolve any open issues with your account before lifting any restrictions.

Notwithstanding the above, we reserve the right to suspend, restrict, or terminate your access to any or all of the services provided by Apex Capital Enterprises LLC and/or deactivate or cancel your account without providing a reason. You acknowledge that our decision to take such actions, including limiting access, suspending, or closing your account, may be based on confidential criteria essential to our risk management and security protocols. You agree that we are not obligated to disclose the details of these risk management and security procedures to you.

11.3 Liability upon Termination: In the event that you or we terminate this Agreement or your access to the services, or deactivate or cancel your account, you will remain liable for all amounts due under this Agreement prior to termination, including fees, charges, and other obligations as set forth in this complete User Agreement.

12. User Tax Self-Reporting Responsibility

12.1 Tax Responsibilities: You are solely responsible for determining whether any taxes apply to transactions associated with the services provided by Apex Capital Enterprises LLC dba Satoshi’s ATM. Prior to entering into any transaction with us, it is your responsibility to review and understand the tax implications with a tax advisor. You must withhold, collect, report, and remit the correct amounts of taxes to the appropriate tax authorities. Tax treatment of digital asset transactions may be uncertain or subject to change in your jurisdiction, and it is your responsibility to determine any tax obligations arising from transactions using our services under this Agreement. You acknowledge that Apex Capital Enterprises LLC dba Satoshi’s ATM may report transaction information to tax or governmental authorities as required by applicable law. It is strongly recommended that you conduct your own due diligence and consult your own tax advisors before making any decisions regarding digital asset transactions.

12.2 Investment and Legal Disclaimer: Apex Capital Enterprises LLC dba Satoshi’s ATM does not provide investment, tax, or legal advice. You are solely responsible for evaluating whether any investment, investment strategy, or transaction is suitable for you based on your personal investment objectives, financial circumstances, and risk tolerance.   • Blackmail Scam – Is anyone threatening you and requesting payment in Bitcoin? 
  • Bill Pay Scam – Has someone told you to pay your electric, IRS, or other bill?

15. SMS Communications & Email Policy

15.1 Apex Capital Enterprises LLC dba Satoshi’s ATM provides users with transaction receipts, two-factor authentication requests, and occasional marketing and promotional messages regarding Apex Capital Enterprises LLC dba Satoshi’s ATM promotions and services via SMS and email. Customers typically opt-in by entering their mobile phone number on the ATM screen, application screen, or web portal when initiating new transactions with Apex Capital Enterprises LLC dba Satoshi’s ATM. By providing “prior express consent” as defined by the Telephone Consumer Protection Act (47 USC § 227) and its implementing regulations, you understand and agree that Apex Capital Enterprises LLC dba Satoshi’s ATM may send you informational SMS text messages using an automatic telephone dialing system.

16. Severability

16.1 If any provision within Sections 1 through 18 of this entire agreement is deemed invalid, unlawful, or unenforceable for any reason, such provision shall be severed from these Terms. The remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

17. Waiver

17.1 The failure of Apex Capital Enterprises LLC dba Satoshi’s ATM, its partners, and affiliates to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Apex Capital Enterprises LLC dba Satoshi’s ATM in writing.

18. Entire Agreement And Future Amendments

18.1 These Terms constitute the entire agreement between you and Apex Capital Enterprises LLC dba Satoshi’s ATM. The terms and conditions of this contractual agreement provided herein shall supersede any prior agreements where applicable. Apex Capital Enterprises LLC dba Satoshi’s ATM’s upper management reserves the right to correct any incorrect information or improper commitments made by employees or lower management in accordance with the rights of this contractual agreement; such statements made by upper management shall supersede all prior discussions made by employees to the fullest extent of the law. The Company recommends that all users review any updated terms and conditions when utilizing any Apex Capital Enterprises LLC dba Satoshi’s ATM product or service, including the website, ATM, and any other Apex Capital Enterprises LLC dba Satoshi’s ATM product or service. The Company reserves the right to amend these Terms at any time. Any amendments will be effective immediately upon posting the revised Terms on the Company’s website, as well as on Transaction dashboards used in the purchase process by customers. Amended/updated User Agreements will include the updated date noted under the title of the User Agreement on the top of the first page. Your continued use of the Services after the posting of a Revised Agreement constitutes your acceptance of such Revised Agreement. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services and close your account (as noted in Section 11.2).

18.2 By using the Company’s services, Customers acknowledge that they have read, understood, and agreed to these Terms and Conditions/User Agreement in its entirety.
